1. Formation and Service Scope
These PromptHub Terms of Service (the “Terms”) are between you and 运营主体待确认 (“we”, “us”, or “PromptHub”). When registration, purchase, or another contracting flow presents these Terms for acceptance, review them and affirmatively agree before proceeding. If you do not agree, do not create a cloud account, purchase paid services, or use cloud features governed by these Terms.
These Terms do not replace the license for the desktop app’s open-source code:
- Open-source desktop app. PromptHub source code is provided under the GNU AGPL-3.0 license identified in its repository. Your use, modification, and distribution of that code are governed by the open-source license.
- PromptHub Cloud commercial services. Cloud sync and backup, team collaboration, community publishing, cloud attachments, official AI, and related Web and Cloud APIs are governed by these Terms.
2. Account Eligibility and Security
- Age threshold. The Service is available only to users who are at least 16 years old. A person under 16 may not create an account or use account-based services.
- Legal capacity. Being 16 does not necessarily mean you have full legal capacity where you live. If you are below the local age of majority or cannot independently enter into these Terms, a parent, guardian, or legal representative must review and agree on your behalf.
- Organizations. If you use the Service for a company or another organization, you represent that you are authorized to bind it to these Terms.
- Account security. Protect credentials and tokens and do not share your account. Notify us under Section 11 if you discover unauthorized use. You are not responsible for unauthorized activity clearly caused by a security defect or event within our reasonable control.
- Team permissions. Team Owners and Admins manage members and roles. Editors and Viewers access team assets under the Service’s RBAC boundaries. Team administrators should authorize only people with a business need.
3. Intellectual Property and Content Rights
- Your content. As between you and PromptHub, you retain rights in prompts, skills, rules, attachments, and other content that you lawfully own or are authorized to use. We do not acquire ownership merely by providing private storage or sync. These Terms do not grant rights you do not otherwise hold in third-party material and do not guarantee that AI output qualifies for copyright or other intellectual-property protection in every jurisdiction.
- License needed to provide the Service. When you upload content, you grant us a non-exclusive, worldwide license limited to operating the features you select, including hosting, copying, formatting, caching, backing up, restoring, security scanning, syncing, and delivering it to team members you authorize. After termination, this license continues only as needed for legal retention, backup rotation, and dispute handling.
- Community publishing license. When you publish an asset, you further grant us a worldwide, non-exclusive, royalty-free license to review, security-check, host, cache, back up, display, distribute, index, and provide it for installation or download under the license shown on its listing. A downloader’s use is governed by that displayed license; these Terms do not automatically expand it.
- Unpublishing and copies. You may request unpublishing through available product controls. We will stop new public delivery within reasonable cache and backup cycles. Copies lawfully obtained under a license before unpublishing do not automatically expire.
- AI labels and third-party rights. Label AI-generated or synthetic content as required by product controls and applicable law, and ensure you may upload, publish, and license the content.
- Feedback. We may use voluntary suggestions to improve the Service without payment, provided we do not disclose your confidential information.
4. Acceptable Use
You must comply with applicable law and must not:
- Publish, host, or distribute unlawful, infringing, fraudulent, violently threatening, obscene, or trade-secret-misappropriating material;
- Create, distribute, or assist malware, phishing, unauthorized intrusion, or other cyberattacks;
- Conduct DDoS attacks, credential brute-forcing, unauthorized vulnerability scans, high-intensity scraping, or interference with the Service;
- Mass-register accounts, manipulate community rankings or downloads, maliciously consume storage, or bypass plan, quota, permission, or billing controls;
- Rent, resell, or publicly expose paid accounts, API tokens, or access credentials;
- Use the Service to violate privacy, intellectual-property, or other legal rights.
5. Community Governance and Content Action
- Review and action. We may use automated or human review for safety, compliance, rights protection, and operations. For content suspected of violating these Terms or law, we may restrict visibility, unpublish, delete, limit features, or suspend an account. Unless emergency risk, law, or investigation integrity prevents it, we will use reasonable efforts to explain the reason and available appeal.
- Reports. Submit a content link, specific reason, contact information, and necessary evidence to support-email-pending@prompthub.local. We evaluate reports according to completeness, risk, and applicable law.
- Appeals. If you believe content or an account was wrongly actioned, appeal through the same address with reasons and evidence. An appropriate reviewer will reconsider and respond within a reasonable or legally required period.
- Repeat violations. Repeated violations, severe harm, or abuse of reports or appeals may result in stronger restrictions or termination.
6. Subscriptions, Billing, and Refunds
- Price and auto-renewal. Available paid plans, price, currency, billing period, taxes, and auto-renewal are shown on the pricing and Checkout pages before purchase. Plans may apply quotas to sync, versions, storage, official AI, or team features.
- Cancellation. You may cancel future auto-renewal through the account console or Stripe customer portal. Unless law, Checkout disclosures, or another notice states otherwise, paid access continues through the current period.
- General refund policy. To the extent permitted by applicable law, a billing period that has started is generally non-refundable. This policy does not exclude any mandatory right to withdraw, obtain a refund, terminate, or receive another remedy.
- Immediate performance and withdrawal. If applicable law requires an affirmative request to begin a digital service during a withdrawal period and an acknowledgment that the right of withdrawal may be lost, we will request those confirmations separately in Checkout and retain evidence. Reading or generally accepting these Terms is not that affirmative confirmation. Until that flow is provided, we do not rely on these Terms alone to claim that you waived the relevant right.
- Billing errors. Verified duplicate charges, incorrect amounts, or unauthorized charges will be corrected or refunded under applicable law and payment-network rules. Contact support-email-pending@prompthub.local with your account email, transaction time, and Stripe transaction identifier; never send a full card number.
- Price changes. We may change future prices or plans. For a material adverse auto-renewal change, we will give notice before it takes effect as required by law, and you may cancel before the new price applies.
7. AI Features and Third-party Services
- BYOK mode. When you use your own API key to contact a third-party model from the local app, that provider supplies the model and governs availability, output, and data processing under its terms.
- Official AI mode. If we offer official AI, PromptHub may provide it as a commercial feature and use upstream model providers to fulfill requests. Available models, price or quota, upstream provider, and data-processing terms are governed by the then-current product disclosure, pricing, and Privacy Statement.
- Output risk. AI output may be wrong, incomplete, unsuitable, or infringing. Review output before use and apply appropriate human review in high-risk, legal, medical, financial, or security contexts.
8. Availability, Warranties, and Limitation of Liability
- Availability. We use commercially reasonable efforts to keep the Service secure and available. Unless a separate service-level agreement applies, we do not promise a fixed availability percentage, uninterrupted operation, or error-free service. We may restrict features for maintenance, security, or capacity and will notify you where practicable.
- Local backups. Local-first data is stored on your device. Maintain appropriate local backups and verify exports or sync before overwriting or deleting data.
- Disclaimer where permitted. To the maximum extent permitted by applicable law, the Service is provided as is and as available. We do not exclude warranties that law makes mandatory and non-waivable.
- Scope of liability. To the maximum extent permitted by law, we are not liable for unforeseeable indirect, incidental, special, or punitive loss. Our aggregate liability directly relating to a paid service will not exceed the fees you paid for the service giving rise to the claim during the 12 months before the event.
- Non-excludable liability. The exclusions and cap do not apply to fraud or fraudulent misrepresentation, willful misconduct or gross negligence, death or personal injury, privacy or data-protection liability that law does not allow us to limit, violation of non-waivable consumer rights, or any other liability that cannot lawfully be limited.
9. Changes, Suspension, Termination, and Account Closure
- You may cancel a subscription and request account closure through available product controls. Authentication data, shared assets, billing or audit records, and backups are handled under the Privacy Statement; we do not promise that every record is physically deleted at the same moment the account closes.
- We may change or discontinue part of the Service for maintenance, security, legal, or business reasons. For a material adverse change to paid service, we will provide reasonable or legally required notice and any remedy required by applicable law.
- We may suspend or terminate an account for severe, repeated, or urgently harmful violations. Where doing so does not compromise security, investigations, or legal obligations, we will provide a reason and available appeal.
- Provisions that by nature should survive, including intellectual-property rights, necessary licenses, payment obligations, confidentiality, liability limits, and dispute terms, continue after termination.
10. Updates, Governing Law, and Disputes
We may revise these Terms. For a material adverse change, we will provide reasonable notice through the website, console, or email. If applicable law requires a new affirmative acceptance, we will request it separately.
These Terms and related disputes are governed by the laws of 适用司法辖区待确认, without excluding mandatory protections available to you as a consumer under the law of your residence. The parties should first try to resolve a dispute through Section 11. If unresolved, either party may bring proceedings before a court or dispute-resolution body with lawful jurisdiction.
